State below in reasonable detail why Form 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

East Resources Acquisition Company (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2022 (the “Q3 2022 Form 10-Q”) by the prescribed due date because additional time is needed to prepare the financial statements for the Q3 2022 Form 10-Q.

 

The Company is working diligently to complete and file the Q3 2022 Form 10-Q as soon as practicable and anticipates that it will file the Q3 2022 Form 10-Q within the five-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
